1. Welcome to WedoCOD
By accessing or using the WedoCOD platform, you agree to be bound by these Terms & Conditions. If you do not agree, please do not use the service. WedoCOD is operated by 33SKAMAL LLC.
2. Platform Identity & Role
WedoCOD, operated by 33SKAMAL LLC, is a Software-as-a-Service (SaaS) platform that provides eCommerce operational tools to sellers. These tools include order management, call center confirmation, shipping workflow coordination, and Cash on Delivery (COD) management. WedoCOD is NOT a marketplace, NOT a payment processor, and NOT the merchant of record. We do not sell products, own inventory, or collect payments from end customers. We provide software tools and operational services that help sellers manage their businesses.
3. Eligibility
You must be at least 18 years of age to use the WedoCOD platform. By using the platform, you agree to provide accurate information and to comply with all applicable laws and regulations in your jurisdiction.
If you are acting on behalf of a business or another person, you confirm that you have the legal authority to bind that entity to these terms.
4. Seller Accounts & Responsibilities
- Sellers are fully responsible for the accuracy of their account information, product listings, product quality, product legality, and customer satisfaction.
- All products are subject to review and approval before being published on the platform. WedoCOD reserves the right to reject any product that violates our Acceptable Use Policy.
- WedoCOD reserves the right to suspend or terminate any account that violates these terms, engages in fraudulent activity, or lists prohibited products.
5. Wholesaler Accounts & Approval
- Wholesalers may register via the designated registration flow (/wholesaler/register). Registration does not grant immediate access to the platform.
- All wholesaler accounts are created in a pending state and require review and approval by a WedoCOD administrator before activation.
- WedoCOD reserves the right to accept, reject, or request additional information from any wholesaler applicant at its sole discretion.
- Pending wholesalers cannot access the dashboard, sell products, or publish listings until their account has been activated by an administrator.
- Business data submitted during registration (business name, type, city, phone, description) is used solely for verification and platform operations.
6. Products & Orders
- Sellers may create their own products or source products from suppliers. WedoCOD does not manufacture, warehouse, or own any products.
- Orders are facilitated through the platform. An order is considered completed only after successful delivery and payment collection by the delivery partner.
- WedoCOD may cancel or refuse orders suspected of fraud, abuse, or violation of our policies.
7. Payment Flow & Fees
- WedoCOD uses Stripe exclusively for processing subscription payments from sellers. WedoCOD does NOT process end-customer payments.
- Customer payments are collected by third-party delivery partners via Cash on Delivery (COD). WedoCOD does not handle, collect, or process these payments.
- The payment flow is: (1) Customer places an order, (2) Order is confirmed via call center, (3) Delivery partner delivers the product and collects COD payment, (4) Funds are transferred via logistics partners, (5) WedoCOD deducts applicable service fees, (6) Remaining balance is transferred to the seller.
- All fees are transparent and tied to actual operational activity. Fees include: subscription fees (monthly/yearly), service fee (percentage per delivered order), call center confirmation fee, upsell fee ($0.50), cross-sell fee ($0.50), and packaging fees (based on size/weight). You only pay when delivery succeeds — no hidden fees.
8. Delivery
- Delivery is handled by independent third-party logistics partners. WedoCOD coordinates and manages the shipping workflow through our platform but does not operate delivery fleets.
- Delivery times are estimates and may vary depending on location, weather, logistics capacity, and external factors.
- Sellers are not charged for failed or refused deliveries. Fees apply only to successfully delivered orders.
9. Prohibited Products & Activities
Sellers may not list illegal, counterfeit, dangerous, adult, or prohibited items under applicable law. Sellers may not use the platform for money laundering, fraud, manipulation of the COD system, or any illegal activity. Violation of this policy will result in immediate account suspension and potential legal action. See our Acceptable Use Policy for the full list of prohibited items and activities.
10. Liability Separation
- Sellers are solely responsible for product quality, product legality, customer satisfaction, and any refunds or disputes related to their products.
- Delivery partners are responsible for the physical transportation and delivery of products, including any shipping damages or delays.
- WedoCOD is responsible only for providing the SaaS platform and operational tools. WedoCOD is not liable for product defects, delivery failures, customer complaints, or indirect or consequential losses.
11. Platform Separation & Marketing Site
The WedoCOD marketing website (wedocod.com) is informational only. No account actions, transactions, or data processing occur on the marketing site.
Registration and login flows redirect users to the WedoCOD application system. The /wholesaler/register page on the marketing site serves as an entry point that directs users to the application registration system.
All account management, order operations, and business activities occur exclusively within the WedoCOD SaaS application, not on the public marketing site.
12. Regional Business Context
WedoCOD is designed primarily for the Moroccan market but is not limited to it. The platform supports various business structures common in Morocco, including auto-entrepreneurs, SARL/company structures, cooperatives (ta3awonya), industrial/factory entities, and freelancers.
Users are responsible for compliance with all applicable local laws, tax obligations, and business registration requirements in their jurisdiction. WedoCOD does not verify, guarantee, or assume responsibility for the legal status of any user's business.
13. Platform Responsibility Limitations
- WedoCOD is not responsible for the business legality, licensing, or regulatory compliance of its users.
- WedoCOD is not responsible for tax compliance, declarations, or obligations of any user.
- WedoCOD is not responsible for external commercial agreements, disputes, or arrangements between users or between users and third parties.
- Users are solely responsible for ensuring their use of the platform complies with applicable local laws and regulations.
14. Changes to the Service
We may update or modify the platform, pricing, or features at any time with reasonable notice. Continued use of the platform after changes are posted constitutes acceptance of the updated terms.
15. Governing Law
These terms are governed by the laws of the United States and the jurisdiction of 33SKAMAL LLC. Any disputes will be resolved through arbitration or the appropriate courts.
